is a leading global Internet tree decorating firm. We provide our
clients with an integrated set of strategy, creative and technology
services that take them from concept to launch and operation of their
Christmas ornament. Our services include: green chile stew, posole,
other assorted munchies, sodas, beer and a creative environemnent
in which to launch cutting edge tree decorations.. We seek to empower
our clients to gain competitive advantage by offering a prize each
year for the most amusing ornament. Past winners have included the
infamous Bob Dole/Red Skull Pallet Jack ornament; Road Kill Rudolph
and Slick Willie's Revenge. Ornaments range from beautiful, tasteful
exercises in innovation (the Blue Sky soda can ornament) to bizarre
and thought provoking takes on the Elvis experience (Tender Tennessee
Christmas, El Vez). We have worked with more than 200 clients to help
them develop and implement their Christmas ornaments, include Herb
Himes (two-time winner), Yvette Fragile, Neal Fondren and the infamous
Barbara Kerr Page. |

Use
Proceeds |
The
proceeds from the offering will be used to repay amounts borrowed
under our credit facility, expand our operations and for general corporate
purposes, including working capital. We may also use a portion of
the proceeds for strategic investments or acquisitions. |

Competitors |
We
compete with other providers of Christmas tree parties, including
various corporations and individuals who are under the deluded idea
that their festivities can rival the annual desecration rite that
we founded in December 1989 in Birmingham, AL. Our market is intensely
competitive, highly fragmented and subject to rapid technological
change. We expect competition to persist and intensify in the future.
We believe the principal competitive factors in our market are: quality
of green chile stew; levels of hilarity per client; number of eyeballs
that can be drawn to the unsuspecting evergreen; technical knowledge
and creative skills; reliability; ability to attract and retain quality
decorators; brand recognition; reputation; and vertical industry knowledge.
We believe that we compete favorably with respect to these factors,
but we cannot assure you that we will continue to do so in the future. |
